These terms govern your use of veritasprofessionalservices.com, the demo portal at demo.veritasprofessionalservices.com, and the Q&A assistant on both (together, the "Site"). The Site is operated by [LEGAL ENTITY NAME], a [STATE OF FORMATION] [ENTITY TYPE] doing business as Veritas Professional Services ("Veritas", "we", "us"). By using the Site, you agree to these terms. If you don't agree, please don't use the Site.
01What the Site is
The Site describes Veritas's operational due diligence tools and lets you contact us. It is provided for general information only. Veritas provides its services to clients only under a separate written engagement agreement. If an engagement agreement conflicts with these terms, the engagement agreement controls for that engagement.
02Tools, not professional advice
Veritas provides tools and organized information that business buyers use to carry out their own operational due diligence. Veritas is not acting as your legal, financial, tax, accounting, investment or other professional advisor.
- Nothing on the Site, in the demo portal, from the Q&A assistant, or in any client portal or deliverable is legal, financial, tax, accounting or investment advice, an opinion on the value of any business, or a recommendation to buy, sell or finance any business.
- Scores, ratings, plans and other outputs organize and summarize information gathered from interviews, documents and systems. Unless an engagement agreement says otherwise, Veritas does not audit or independently verify that information, and it may be incomplete or inaccurate.
- You are responsible for your own investment and business decisions, and for getting advice from your own qualified advisors.
03The demo portal
The demo portal shows how a client portal works using a fictional sample company, Hartwell Precision Components. All names, figures, interviews and findings in the demo are made up for illustration. They don't describe any real business or person, and they are not a promise of the results of any engagement.
04The Q&A assistant
The Q&A assistant gives pre-written answers to common questions about Veritas. Its answers are general information, may not reflect the terms of any particular engagement, and are not advice. If you choose "Get in touch with someone", the details you enter are sent to us as described in our Privacy Policy.
05Messages you send us
When you contact us through the Site, you agree that the information you give is accurate and that you're allowed to share it. Please don't include confidential information about a target company, its owners or its employees in a website message. If we work together, we'll set up an appropriate way to share confidential information. Sending a message doesn't create an engagement, a confidentiality obligation or any other relationship between you and Veritas.
06Acceptable use
You agree not to:
- use the Site in a way that breaks the law or infringes anyone's rights;
- send spam, automated or bulk submissions through the contact form or Q&A assistant;
- try to get around the Site's security, bot checks or rate limits, or to access parts of the Site or our systems you aren't authorized to use;
- scrape, copy or harvest the Site's content or data in bulk, or use it to build a competing product; or
- interfere with or disrupt the Site or the services that host it.
07Intellectual property
The Site and everything on it, including its text, design, graphics, logos, the demo portal and its sample content, and the way our tools are organized and presented, belong to Veritas or its licensors and are protected by intellectual property laws. You may view the Site for your own internal business purposes. You may not copy, modify, distribute or create derivative works from it without our written permission. "Veritas" and the Veritas logo are trademarks of Veritas and may not be used without permission.
08Third-party services
The Site relies on, and may link to, services run by other companies. We aren't responsible for their content, policies or availability, and your use of them is governed by their terms.
09Disclaimer of warranties
The Site is provided "as is" and "as available". To the fullest extent permitted by law, Veritas disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't promise that the Site will be uninterrupted, error-free or secure, or that its content is complete or current.
10Limitation of liability
To the fullest extent permitted by law, Veritas and its owners, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunities, arising out of or related to the Site, even if we were told they were possible. Our total liability for any claim arising out of or related to the Site is limited to one hundred U.S. dollars (US$100). This section doesn't limit liability that can't be limited by law, and it doesn't change the terms of any engagement agreement.
11Indemnity
You agree to indemnify and hold Veritas harmless from claims, losses and expenses, including reasonable attorneys' fees, arising out of your misuse of the Site or your breach of these terms.
12Governing law
These terms are governed by the laws of the State of [GOVERNING LAW STATE], without regard to its conflict-of-law rules. Any dispute arising out of or related to these terms or the Site will be brought only in the state or federal courts located in [COUNTY AND STATE FOR COURT VENUE], and you and Veritas consent to those courts' jurisdiction.
13Changes to these terms
We may update these terms from time to time. When we do, we'll change the effective date at the top of this page. The updated terms apply from that date. If you keep using the Site after an update, you accept the updated terms.
